In the power industry, we have represented all types of participants — generators, suppliers, marketers and end users — in regulatory consultations, obtaining permits, contractual matters involving hedging, supply, construction, operation and maintenance, interconnection and compensation, migration from the legacy regime to the new regime, as well as the placement of products in the Wholesale Electricity Market.
We have extensive experience in generation projects, both renewable and conventional, as well as in projects related to infrastructure for the transmission, distribution and consumption of electricity, including wind and solar farms; thermoelectric, hydroelectric, combined-cycle and cogeneration plants; distributed generation facilities; electrical substations; transmission and distribution lines; and other power infrastructure facilities.
In hydrocarbons, we have extensive experience in obtaining permits for the production, storage, transportation, distribution and commercialization of various types of hydrocarbons and fuels, and have advised several clients on the construction and operation of pipelines, regasification plants and storage facilities.
In addition, we have dispute resolution specialists with specific experience in energy and natural resources, allowing us to assist in filing the judicial actions necessary for the proper development of projects, as well as in the various applicable dispute resolution mechanisms, whether involving authorities or private parties.

Distributed Generation and Isolated Supply Projects. Providing general advice to several companies for the installation and operation of power generation plants using distributed generation and local generation mechanisms.

Power Generation Permits. Obtaining generation permits in their various forms, as well as accreditation as market participants (PM). We have successfully obtained permits in recent years despite the sector’s slowdown, including for Felipe Ángeles International Airport and Time Ceramics.
CFE Power Plant Modernization and Construction. Structuring a transaction for the repowering of CFE generation plants with a special payment mechanism. We also advised a major Chinese multinational company in connection with the construction of a 350 MW power plant for CFE.
Regularization of Power Generation Projects. Assisting one of Latin America’s most recognized clean energy companies in the regulatory, contractual and corporate regularization of several large-scale projects.
Industrial Parks. Advising several industrial parks, as well as companies with facilities within them, on the structuring and implementation of various schemes to secure the electricity supply required for their operations.

With more than 14 years of professional experience, Guadalupe has focused her practice on energy law, infrastructure, and project finance.
In the energy sector, Guadalupe specializes in the electricity industry, advising all types of market participants, including domestic clients (both private entities and government agencies) and international companies in all types of projects, including successful participation in Long-Term Auctions; accreditation and operation of Market Participants; obtaining all types of permits related to the electricity market; advising legacy projects in their migration to the new regulatory framework; structuring, financing, construction, operation, and maintenance; and the sale and acquisition of all types of power generation projects.
Given the current political environment, Guadalupe has assisted numerous clients in designing innovative structures to commercialize or consume electricity despite the reluctance of national authorities, implementing schemes to execute isolated supply projects and third-party sales, as well as litigation strategies to obtain favorable responses from authorities in cases of inaction or unfounded denials. In this regard, Lupita has led the preparation of several risk analysis reports and mitigation strategies related to electricity regulation.
Guadalupe has also advised clients in various disputes arising from the electricity sector, primarily resolved through international commercial arbitration.

Risk Assessment Report for Power Plant Acquisition
Preparation of a regulatory risk assessment report and potential mitigation strategies in connection with the potential acquisition of two combined-cycle power plants (with a combined capacity exceeding 270 MW). One of the plants operated under the “Isolated Supply” scheme, with plans for future expansion and interconnection, while the other imported all of its electricity under a legacy import permit granted pursuant to the Public Electricity Service Law, requiring migration in the coming years.
The report addressed, among other matters: risks related to compliance with isolated supply requirements; risks arising from future interconnection; risks depending on the outcome of constitutional injunctions (amparos) filed against new regulations; and risks associated with migrating the legacy permit to the Wholesale Electricity Market (MEM).
Due Diligence for Acquisition of a Generation Project Portfolio
Ongoing legal, regulatory, and real estate due diligence processes concerning electricity generation projects in connection with the potential acquisition of a project portfolio at various stages of development, including a project in partnership with the Comisión Federal de Electricidad through an unsolicited proposal for the construction and commissioning of a wind power plant in the Yucatán Peninsula.
Load Aggregation and Registration of Municipality as Qualified User
Advised a municipality in aggregating loads associated with public street lighting in order to obtain accreditation as a Qualified User and secure electricity supply agreements at more competitive prices.
Municipal Water Agencies
Advised municipal water agencies in a northern Mexican state in aggregating loads associated with water pumps, obtaining accreditation as Qualified Users, and carrying out procurement procedures for qualified suppliers in order to achieve significant savings in electricity consumption.
Sonora Industrial Parks
Advised one of the leading industrial park groups in northern Mexico on electricity-related projects, including: construction of substations and transmission and distribution lines; implementation of third-party sales schemes without permits from the Comisión Reguladora de Energía; development of distributed generation projects; and planning for a future utility-scale solar photovoltaic plant.

He has led M&A transactions with an aggregate value exceeding USD 4 billion and has participated in infrastructure and energy projects with a combined value of more than USD 15 billion across Mexico and Latin America.
His recent experience includes advising on the cross-border acquisition of Real Valladolid Club de Fútbol (Spain) by an international investment group (2025), advising on the acquisition of Logistik Industrial Park in San Luis Potosí for more than USD 250 million (one of the largest industrial parks in Latin America), as well as advising on the acquisition of Fox Sports México, including audiovisual rights structures in Mexico and the United States.
Mr. Ripoll has extensive experience structuring sophisticated transactions involving rollover schemes, earn-outs, hybrid stock and asset transactions, and cross-border reorganizations in the healthcare, pharmaceutical, maquiladora, technology, and entertainment sectors.
