Ripoll-González, Alejandro

Alejandro Ripoll has more than 20 years of experience in corporate law, mergers and acquisitions, foreign investment, infrastructure and energy projects, corporate governance, and cross-border transactions.
He has led M&A transactions with an aggregate value exceeding USD 4 billion and has participated in infrastructure and energy projects with a combined value of more than USD 15 billion across Mexico and Latin America.
His recent experience includes advising on the cross-border acquisition of Real Valladolid Club de Fútbol (Spain) by an international investment group (2025), advising on the acquisition of Logistik Industrial Park in San Luis Potosí for more than USD 250 million (one of the largest industrial parks in Latin America), as well as advising on the acquisition of Fox Sports México, including audiovisual rights structures in Mexico and the United States.
Mr. Ripoll has extensive experience structuring sophisticated transactions involving rollover schemes, earn-outs, hybrid stock and asset transactions, and cross-border reorganizations in the healthcare, pharmaceutical, maquiladora, technology, and entertainment sectors.
In addition to his transactional practice, Alejandro Ripoll serves as a board member of various companies in the agribusiness, industrial park development, energy generation, and railway terminal infrastructure sectors. This board-level experience allows him to advise clients from both a strategic and business-oriented perspective.

Alejandro is a partner at Ramos, Ripoll & Schuster and co-leads the Corporate & Business and Energy & Infrastructure practice groups. Prior to joining Ramos, Ripoll & Schuster, he was part of the Corporate/M&A group at Baker McKenzie.
He regularly advises multinational corporations, private investors, and family-owned business groups on acquisitions, divestitures, joint ventures, restructurings, and corporate governance matters.
Mr. Ripoll also serves as board member and external advisor to companies in the agribusiness, industrial park, power generation, and railway terminal sectors.
He is a member of the Executive Committee of Legalink, a global alliance of more than 70 independent law firms across 60 jurisdictions, where he promotes cross-border collaboration and the development of international clients.

Yáñez Vega, Mario Jorge

Mr. Yáñez Vega has a diversified practice in the areas of corporate law, transactions, mergers and acquisitions, international trade, environmental and natural resources law, gaming and entertainment, immigration, and nationality matters. In the field of international trade, Jorge specializes in investigations and proceedings related to international trade practices, including dumping and subsidy matters. He also assists international companies in establishing maquiladora operations in Mexico.
With respect to his corporate practice, Jorge has advised multinational companies from various industries in the acquisition of shares and assets of Mexican companies, the negotiation of joint ventures, and, in general, the business operations and coordination of legal and commercial matters for his clients.
Jorge began his professional career in 1988 at Barrera, Siqueiros y Torres Landa (now Hogan Lovells), where he held positions as law clerk, associate, and partner beginning in 2000. In 2009, Jorge relocated from the Mexico City office of Barrera, Siqueiros y Torres Landa to its Monterrey office. After 35 years as part of the Barrera, Siqueiros y Torres Landa and later Hogan Lovells team, Jorge began a new stage in his career as a partner at Ramos, Ripoll & Schuster, joining the Corporate and International Trade teams.
Jorge earned his law degree from the National Autonomous University of Mexico between 1986 and 1991. During the 1992–1993 academic year, he completed a Master of Laws (LL.M.) at Columbia University in New York City. From 1993 to 1994, Jorge worked as a foreign resident associate at Vial, Hamilton Koch & Knox in Dallas, Texas.
Experiencia Profesional
He has extensive experience in international trade practices, representing domestic and foreign industries in anti-dumping and countervailing duty investigations involving imports into Mexico of products from industries such as beef, pork, poultry products, fertilizers and petrochemical derivatives, textiles for the automotive industry, steel products, among others.
He has participated in Binational Panel Reviews under the North American Free Trade Agreement.
Jorge advises clients on various aspects of international trade and the establishment of maquiladora operations, including obtaining and operating IMMEX Programs.
He has advised American, Canadian, European, and Asian clients in the acquisition of companies and assets in Mexico, the negotiation of joint ventures, real estate transactions, and the establishment of operations in Mexico, among other matters, across various industrial and commercial sectors.
As the partner responsible for institutional relationships with numerous corporate clients (primarily international companies), he has overseen and coordinated the work of other practice groups for such clients.
He has represented clients in the renewable energy industry in the establishment of subsidiaries in Mexico, the acquisition of Mexican assets, and regulatory matters.
